Terms of Service

Effective date: August 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Ferox OS platform, including its dashboards, integrations, SMS and Telegram messaging features (the "Service"), provided by Ferox Supply Company LLC ("Ferox OS," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Ferox OS is a business automation platform that connects and centralizes tools such as CRM and lead management, e-commerce, accounting, advertising, and messaging into a single dashboard, with optional AI-assisted features.

2. Accounts

• You must provide accurate information when creating an account and keep your login credentials secure.
• You are responsible for all activity that occurs under your account.
• You must be authorized to act on behalf of the business you are onboarding.

3. Subscription and Fees

• Access is provided on a subscription basis, billed monthly in advance.
• A one-time setup fee is charged at signup in addition to the first month.
• Your subscription renews automatically each month until cancelled.
• Payments are processed by Stripe. We do not collect or store card details.
• Your monthly rate is your rate. There is no metered usage billing and no overage charges within your subscription tier.
• We may change pricing with reasonable advance notice.

4. Cancellation and Refunds

• There is no contract term and no lock-in. You may cancel at any time.
• Cancel before your next billing date and you will not be charged again.
• Cancellation takes effect at the end of your current billing period. You retain access until then.
• We do not issue partial-month refunds.

5. Setup Fees

Setup fees cover configuration, integration testing, CRM provisioning, agent configuration, and verification work performed on your behalf.

• Refundable in full if you cancel before setup work has been performed.
• Once setup has been completed, the setup fee is non-refundable, as it represents work already delivered.

6. Satisfaction Guarantee

This guarantee covers the subscription fee only. Ferox OS does not guarantee any specific business result, revenue figure, lead volume, or return on investment.

7. Messaging and SMS Terms

By providing your mobile number to Ferox OS, you consent to receive informational and transactional text messages relating to your account and the Service.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to opt out at any time.
• Reply HELP for help, or email info@feroxos.com.
• Consent to receive messages is not a condition of purchase.
• Carriers are not liable for delayed or undelivered messages.

8. Your Messaging Responsibilities

If you use the Service to communicate with your own customers, you are solely responsible for the lawfulness of those communications, including:

• Obtaining and documenting valid consent from every recipient before messaging them.
• Complying with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and all applicable carrier and regulatory messaging requirements.
• Completing any registration required to send messages under your own business identity, including A2P 10DLC brand and campaign registration where applicable.
• Honoring opt-out requests promptly.

Ferox OS provides the tooling. You remain the sender of record for messages you send to your own customers.

9. Third-Party Integrations

The Service connects to third-party platforms at your direction. You are responsible for having the right to connect these accounts, and for complying with the terms and laws governing those platforms. Some integrations require credentials or access tokens that you must generate and periodically renew. We are not responsible for the availability, accuracy, or policies of third-party services we integrate with.

10. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Send unsolicited, deceptive, or abusive communications to third parties;
• Upload data you do not have the rights to use;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its infrastructure.

11. Your Data

You retain ownership of the business, customer, and financial data you connect to or store in the Service. You grant us a limited license to access, process, and display that data solely to operate the Service on your behalf. Upon cancellation you may request an export of your data by emailing info@feroxos.com. See our Privacy Policy for details on data handling.

12. AI-Assisted Features

Certain features use AI to summarize, draft, or automate actions based on your data. AI-generated output may contain errors and should be reviewed before you rely on it for business-critical decisions or client-facing communication.

13. Intellectual Property

The Service, including its software, design, and branding, is owned by Ferox Supply Company LLC. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as intended.

14. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or secure at all times.

15. Limitation of Liability

To the maximum extent permitted by law, Ferox Supply Company LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months preceding the claim.

16. Termination

You may cancel your account at any time. We may suspend or terminate access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with reasonable notice where practicable.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Continued use after changes take effect constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles.
